Philadelphia, Pennsylvania--(Newsfile Corp. - September 5, 2023) - Berger Montague is currently investigating potential violations of the federal securities laws on behalf of investors in SodaStream International Ltd. ("SodaStream" or the "Company") (NASDAQ: SODA) and who held shares of SodaStream as of September 4, 2018 and were therefore eligible to vote on the merger with PepsiCo Inc. ("PepsiCo").
Prior to the merger with PepsiCo, SodaStream described itself as a manufacturer and seller of home beverage carbonation systems that enabled consumers to easily transform ordinary tap water into sparkling water and flavored sparkling water in seconds.
On August 20, 2018, PepsiCo and SodaStream jointly announced that they had executed a merger agreement whereby PepsiCo would acquire SodaStream for cash consideration of $144 per SodaStream share. On September 12, 2018, SodaStream issued a proxy statement recommending that the shareholders approve the transaction and setting a meeting for a shareholder vote for October 9, 2018. The proxy statement contained a discounted cash flow analysis performed by Perella Weinberg Partners LP, SodaStream's financial advisors.
On October 9, 2018, SodaStream filed a Form 6-K announcing that the shareholders had approved the merger proposal that day, with 99% of the shares present or represented by proxy voting in favor.
